
Tucker Arensberg’s banking practice services financial institutions from large, super regional banks to smaller, community-oriented banks, trust companies, trust departments, mutual funds and brokerages. The firm also represents commercial credit companies, leasing companies, insurance companies and savings and loan associations.
The firm currently represents, in different capacities, 20 different banks headquartered in Pennsylvania and approximately 25 other banks located outside of Pennsylvania.
Tucker Arensberg represents clients in transactions ranging from less than $100,000 to more than $500,000,000. These matters involve the negotiation, documentation and closing of secured and unsecured revolving credit and term loan facilities, asset-based lending transactions, mezzanine debt, second lien loans, ESOP loans and tranche B financing, equipment lease transactions, synthetic leases, commercial and residential real estate loans, syndicated loans, public finance transactions, S.B.A. loans and innovative off-balance sheet transactions.
We assist clients in structuring and documenting project financing, acquisition financing, equipment leasing, credit transactions and public finance transactions which support, either directly or indirectly through letters of credit, offerings of commercial paper. Department members are also involved in the creation of innovative asset securitization and other off-balance sheet transactions and have experience with interest rate swap transactions, foreign currency facilities and foreign asset collateral transactions.
We assist in dealing with the following types of customers and industries in financial transactions: heavy industry, light industry, oil and gas industry, mining companies, retailers, technology companies, real estate developers, consumers, 501(c)(3) entities, governmental entities, contractors and service businesses of every kind. We frequently work with lenders and borrowers in connection with government-sponsored business financing programs.
The Financial Institutions practice is complemented by several of the firm’s other practice areas, including investment management and fiduciary services, real estate, municipal finance and insolvency and creditors’ rights.
Our Investment Management and Fiduciary Services Practice Group provides legal services to institutions and individuals that manage or wish to manage money and/or offer other fee based services. We represent clients in matters involving their regulators and provide legal services necessary to develop and maintain their products. We assist investment management clients with their legal needs including interpreting laws and regulations, litigation and compliance.
Our Real Estate Practice Group consists of banking, finance and business attorneys who regularly handle real property transactions including purchases and sales, development projects, commercial leases, closings and title matters.
As counsel for municipal issuers, underwriters, purchasers and issuers of credit enhancements, our Municipal Finance Practice Group handles taxable, tax-exempt and structured financings.
Our Insolvency and Creditors’ Rights Practice Group’s primary focus is on the representation of secured creditors and numerous national and regional financial institutions with collection problems. Our attorneys have had experience with representing creditors individually and as a group. Furthermore, we have been involved in several significant national and regional bankruptcies posing many significant and complex issues.
