Ralph
F. Manning
Ralph F. Manning, a
shareholder with the firm, is the Co-Chair of the Technology/Intellectual
Property Practice Group and a United States Patent Attorney. Ralph’s practice is
concentrated in corporate counseling and transactions, and in that capacity he
has served the firm’s technology-based clients in a variety of areas.
Ralph has represented numerous technology and other businesses, large and small,
in drafting and negotiating software and technology licenses, web hosting
agreements, software installation agreements, click and shrink wrap agreements
and assignments of intellectual property rights. He has assisted many emerging
technology companies in their early stages, helping to arrange funding from
private capital markets and venture capital firms. He also assists clients to
choose the most advantageous corporate or business form, preparing shareholder
agreements, protecting intellectual property through patents, trademarks,
copyrights and other forms and drafting buy-sell agreements.
Ralph has participated in many merger and acquisition transactions and has
experience representing either the acquired or the acquiring party.
Ralph is licensed to practice in Pennsylvania, New Jersey and Connecticut. He
received his J.D. from the University of Pennsylvania Law School, his M.S. from
Carnegie Mellon University and his B.S. in chemical engineering from the
University of Pittsburgh.
Prior to joining Tucker Arensberg, Ralph was a partner at another Pittsburgh law
firm and previously served as general counsel and an officer of Allied-Signal,
Inc., Echlin Inc. and Eltra Corporation.
Ralph was selected by his peers for inclusion in The Best Lawyers in America®
2005 and 2008 in the Intellectual Property Law category. He was also named a Pennsylvania
Super Lawyer for 2006 in the Business/Corporate Law Category.
