William T. Harvey
Mr. Harvey, a
shareholder with the firm, has focused his practice for the past 20
years on business law. He advises business owners on planning
matters, including business startups and corporate mergers and
acquisitions, and counsels private and public companies on federal
and state securities regulation, including private and public
offerings of debt and equity securities.
Much of Bill's
practice focuses on advising clients in advanced technology
industries.
He has advised
high-tech companies in the areas of software licensing, capital
formation, copyright issues, e-commerce issues and marketing
agreements.
In nearly 20 years
of practice, Bill has handled various corporate and business
matters, including the purchase and sale of corporate stock and
assets, venture capital financing, debt and equity financing and the
purchase and sale of various small to medium sized enterprises.
He has had extensive experience in shareholder disputes, minority
shareholders' rights, directors' and officers' liability and other
corporate law issues. He has also advised both publicly owned and
privately held banks on securities filings, proposed mergers,
drafting and amendments to articles and bylaws and other corporate
and securities issues. Bill renders day-to-day advice on licensing
agreements, sales agreements, contract negotiations, unfair
competition and many other operational issues.
Bill graduated from Yale
University, then obtained a Masters Degree from Duquesne University.
Bill graduated from the University of Pittsburgh School of Law in
1978. He has been admitted to practice law before the Pennsylvania
courts, the U.S. District Court for the Western District of
Pennsylvania and U.S. Tax Court.
