Richard
W. Cramer
Mr. Cramer is a shareholder in the firm's Business and
Finance Department. His practice is concentrated in the tax, business
and health care areas where he represents individuals and business clients with
respect to business, tax, health care, and financing matters, including
selecting the appropriate form of business entity, buy-sell agreements, business
acquisitions and dispositions, buying and selling physician practices, business
succession, and the admission and withdrawal of business partners. He also is
counsel to several tax-exempt organizations, including long term care
facilities, with respect to tax exemption, unrelated business income tax and
private foundation/public charity issues.
Rick's practice focuses on the negotiation and documentation
of a wide range of contractual matters such as employment and executive
compensation agreements, deferred compensation agreements and plans, leases,
management agreements, managed care arrangements, service contracts, joint
venture agreements and similar arrangements. He also advises
clients
on third party reimbursement
issues,
Medicare and Medicaid fraud and abuse issues and related health care matters.
Rick has served as principal attorney, special tax counsel,
and as bond counsel in numerous financial and business transactions, including
leveraged and single investor equipment lease financings, off balance sheet
financings, asset securitization transactions, tax exempt bond financings,
leveraged ESOP financings, business acquisitions and dispositions, and general
corporate borrowings.
Rick is a member of the Pennsylvania and Allegheny County Bar
Associations and is recognized as bond counsel in the Bond Buyer's Municipal
Marketplace and a member of the National Association of Bond Lawyers. He received his B.A. from Washington and Jefferson College in
1976 and his J.D. from Duquesne University School of Law in 1979.
